OUTSOURCING CONTRACT TRANSLATION

CUSTOMER guarantees that it will only use the CONTRACT PRODUCT for its business for the use in Shoes and in accordance with the Design Guideline for the applicable shoe category. CUSTOMER will ensure that CONTRACT PRODUCT will not be used for any other purpose. CUSTOMER will furthermore ensure that CONTRACT PRODUCT having been delivered by BÊN GIA CÔNG to CUSTOMER but not being part of the final Shoes (as they are part of rejected non-removable parts in the manufacture process or for any other reason), will either be destroyed by incineration or recycled (the latter only if and to the extent the respective material is converted to a non-particle foam, i.e. by melting the material to a compact thermoplastic polyurethane or by grinding it to small pieces). Furthermore, CUSTOMER will not resell any CONTRACT PRODUCTS (be they contained in rejected non-removable parts or post-production scrap or otherwise).

KHÁCH HÀNG đảm bảo rằng họ sẽ chỉ sử dụng SẢN PHẨM HỢP ĐỒNG cho hoạt động kinh doanh của mình về sử dụng trong Sản phẩm Giày và tuân theo Hướng dẫn Thiết kế cho loại giày tương ứng. KHÁCH HÀNG sẽ đảm bảo rằng SẢN PHẨM HỢP ĐỒNG sẽ không được sử dụng cho bất kỳ mục đích nào khác. KHÁCH HÀNG cũng sẽ đảm bảo rằng SẢN PHẨM HỢP ĐỒNG đã được BÊN GIA CÔNG giao cho KHÁCH HÀNG không phải là một phần của Sản phẩm Giày cuối cùng (vì chúng là một phần của các bộ phận không thể tháo rời bị từ chối trong quá trình sản xuất hoặc vì bất kỳ lý do nào khác), sẽ bị thiêu hủy hoặc tái chế (chỉ tái chế khi và trong phạm vi vật liệu tương ứng được chuyển thành bọt không phải hạt, tức là bằng cách nấu chảy vật liệu thành nhựa nhiệt dẻo polyurethane cô đặc hoặc bằng cách nghiền nó thành các miếng nhỏ). Hơn nữa, KHÁCH HÀNG sẽ không bán lại bất kỳ SẢN PHẨM HỢP ĐỒNG nào (dù chúng được chứa trong các bộ phận không thể tháo rời bị từ chối hoặc phế liệu sau sản xuất hoặc ở dạng khác).
