Updating the phone number on the business license is the process of adjusting the phone contact information of the enterprise on the Business Registration Certificate. Below is a detailed guide to make a phone number change on the business registration.
According to Article 23 of the Law on Enterprises 2020, a business registration application must include the following information:
- Name of the enterprise;
- Head office address, telephone number, fax number, and email address (if any);
- Business lines;
- Charter capital and investment capital of the owner of the sole proprietorship;
- Types of shares, par value, and total number of shares entitled to offer for sale of each type of shares for joint-stock companies;
- Tax registration information;
- Expected number of employees;
- Personal information and legal documents of individuals for sole proprietorships and general partners of partnerships, or of legal representatives of limited liability companies or joint-stock companies.
In particular, information about the phone number is mandatory in the business registration application, while fax and email numbers are not required. According to Article 1 of Decree No. 01/2021/ND-CP, enterprises must supplement phone number information when registering or notifying changes in business registration content. If you don't add your phone number information, your application will be considered invalid.
Enterprises are not allowed to change the phone number on their business license in the following cases:
- Having received a Notice of Violation from the Business Registration Office, or having issued a Decision to revoke the Enterprise Registration Certificate.
- In the process of dissolution according to the dissolution decision of the enterprise.
- At the request of the Court, the Judgment Enforcement Agency, or the Investigating Agency under the Criminal Procedure Code.
- The enterprise is in the status of "No longer doing business at the registered address."
Businesses can continue to change their phone number in the following cases:
- Remedial measures have been taken as required in the Notice of Violation and accepted by the Business Registration Office.
- Registration information must be changed to complete the dissolution dossier and have a written explanation.
- Obtaining written approval from organizations and individuals upon request.
- The business has moved from an "Inactive" status to an "Active" status.
Enterprises need to update their phone number information according to the provisions of Clause 2, Article 63 of Decree 01/2021/ND-CP:
- Update and supplement information: If the change does not change the content of the Enterprise Registration Certificate, the enterprise shall send a notice to the Business Registration Office. The Business Registration Office will update the information in the dossier and into the National Business Registration Database without asking for a fee.
- Changes in the contents of the Certificate: If the change of information falls into the cases from Articles 47 to 55 of the Decree, the enterprise shall send a notice of change to the Business Registration Office to receive the new Certificate.
Documents to be prepared:
- Notice of changes in enterprise registration contents (according to Appendix II-1 of Circular No. 02/2019/TT-BKHDT).
- Decision on the change of business registration information.
- Minutes of the meeting of the Board of Members/General Meeting of Shareholders (if any).
- Power of attorney (if needed). Procedure for implementation:
1. Submission of dossiers: Enterprises submit dossiers at the Business Registration Office – Department of Planning and Investment of the province or city where the head office is located or through the National Business Registration Portal.
2. Processing the dossier: The Business Registration Office will check the validity of the dossier and update the information in the National Enterprise Registration Database.
3. Receive the result: If the dossier is valid, the Business Registration Office will issue a new Enterprise Registration Certificate. Enterprises also need to publish changed information on the National Portal to avoid being fined from 1,000,000 VND to 2,000,000 VND.
Processing time: 3-5 working days after receiving a complete dossier.
